These Terms govern your use of SystemAIO, a product and service of Sema Scale LLC (“Company”, “we”, “us”).
Sema Scale LLC provides a software-as-a-service (SaaS) platform designed for home service contractors, including tree service professionals. The Service includes lead management and CRM tools, customer communications (SMS and email), advertising campaign management, payment processing, and related features.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. By using the Service, you represent and warrant that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@systemaio.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise misuse the Service.
Access to the Service requires a paid subscription. Subscription fees are billed monthly in advance. By subscribing, you authorize us (through our payment processor, Stripe) to charge your payment method on a recurring basis until you cancel.
Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months of service, except as required by applicable law.
We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You are solely responsible for obtaining all necessary consents before sending SMS or email messages to your contacts through the Service.
The Service enables you to send SMS messages to your leads and customers using your registered business phone number. You must comply with all applicable laws, including the TCPA, when using SMS features. You represent that all recipients of SMS messages sent through the Service have provided appropriate consent.
We are not responsible for carrier fees, message delivery failures, or regulatory penalties arising from your use of the SMS features. Opt-out requests (STOP) must be honored promptly; the Service is designed to facilitate this.
Systema AI (Sema Scale LLC) operates a messaging platform on behalf of independent local contractors. By submitting an estimate request form on a contractor's Systema AI website and opting in, you agree to receive text messages from that contractor regarding your estimate request, sent through the Systema AI platform.
Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for help, or contact us at support@systemaio.com. Carriers are not liable for delayed or undelivered messages. For details on how we handle your information, see our Privacy Policy.
The Service integrates with third-party providers including Twilio (SMS), Resend (email), Stripe (payments), and Meta (advertising). Your use of these integrations is subject to each provider's own terms of service and privacy policies. We are not responsible for the conduct, policies, or availability of third-party services.
The Service and all content, features, and functionality are owned by Sema Scale LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.
You retain ownership of all data you input into the Service (including lead information). You grant us a limited license to process that data solely to provide and improve the Service.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in our Privacy Policy.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any lead outcomes, business results, or revenue generated (or not generated) through use of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEMA SCALE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Sema Scale LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
Either party may terminate the relationship at any time. You may cancel your subscription through your account settings or by contacting us at support@systemaio.com. We may suspend or terminate your access immediately for material violations of these Terms.
These Terms are governed by the laws of the United States without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.
